Terms of Service

1. Eligibility

You must be at least 16 years old and have the authority to bind the organization you represent. By creating an account, you represent that you meet these requirements.

2. Account responsibilities

You are responsible for maintaining the security of your account credentials. You must notify us immediately at security@wrk.ing if you suspect unauthorized access.

Organization owners are responsible for managing users, roles, and permissions within their workspace. We are not liable for actions taken by authorized users within your organization.

3. Free trial and billing

New organizations begin with a 14-day free trial. No credit card is required to start. At the end of the trial, you may select a paid plan to continue using the Service.

Paid plans are billed in advance, either monthly or annually depending on the billing period you select. All fees are stated in US dollars and are non-refundable except where required by law. We will notify you at least 30 days before any price changes take effect.

4. Your data and content

You own your data. All content, documents, workflows, form submissions, and organizational data you create in wrk!ng belongs to you. We claim no ownership or intellectual property rights over your content.

We do not access your organization data except:

• To operate and maintain the Service
• To respond to support requests you initiate
• To comply with legal obligations
• To enforce these Terms

We will never sell your data, use it for advertising, or provide it to third parties for their marketing purposes.

5. AI features

The Service includes optional AI features that process data through third-party large language model (LLM) providers. These features are entirely under your control:

• You choose which interaction points have AI enabled
• You author the prompts that define what data is sent and how the model responds
• You select the model provider for each interaction point
• You may disable AI features at any time without affecting other Service functionality

We do not use your data to train, fine-tune, or improve any AI models. When data is sent to a third-party model provider, that provider's terms and privacy policy apply to that processing. We select providers who commit to not training on customer data.

AI-generated outputs are suggestions and should be reviewed by a human before being relied upon for compliance, legal, financial, or personnel decisions.

6. Acceptable use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe on the intellectual property or privacy rights of others
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to the Service or other users' data
• Interfere with the performance or availability of the Service
• Use the platform to store or transmit content that is unlawful, defamatory, or promotes violence
• Resell access to the Service without written authorization

We reserve the right to suspend or terminate accounts that violate these provisions after providing notice and a reasonable opportunity to cure, except where immediate action is necessary to protect the Service or other users.

7. Availability and support

We strive to maintain high availability but do not guarantee uninterrupted access. We will provide reasonable notice of scheduled maintenance. In the event of extended unplanned downtime, affected customers on paid plans will receive prorated service credits.

8. Data portability and deletion

You may export your organization data at any time using the platform's built-in export tools. Upon account deletion, we will permanently remove all associated data within 30 days, except where retention is required by law.

9. Intellectual property

The wrk!ng platform, including its design, code, documentation, and branding, is owned by wrk!ng and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business operations for the duration of your subscription.

10. Limitation of liability

To the maximum extent permitted by applicable law, wrk!ng's total liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, regardless of the theory of liability.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or death or personal injury caused by our negligence.

11. Indemnification

You agree to indemnify and hold wrk!ng harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes arising from these Terms will be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree with the changes, you may close your account before they take effect.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
